By downloading, accessing, or using the Vyapari mobile application ("App"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the App.

2. Description of Service

Vyapari is a business application that enables local merchants and service providers ("Merchants") to receive and fulfill orders placed by residents through the Nivasi community platform. The App provides tools for order management, communication, and transaction processing.

3. User Eligibility

To use Vyapari, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Operate a legitimate business or service
• Provide accurate and complete registration information
• Comply with all applicable local, state, and national laws

4. Merchant Responsibilities

As a Merchant using Vyapari, you agree to:

• Provide accurate information about your products and services
• Fulfill orders in a timely and professional manner
• Maintain appropriate licenses and permits for your business
• Communicate clearly and respectfully with customers
• Handle customer data in accordance with our Privacy Policy
• Report any issues or disputes promptly

5. Order Management

Merchants are responsible for:

• Reviewing and accepting/rejecting orders within a reasonable timeframe
• Ensuring product quality and accuracy of orders
• Updating order status promptly
• Coordinating delivery or pickup arrangements
• Processing refunds or returns according to your stated policies

6. Fees and Payments

Vyapari may charge service fees, commission, or subscription fees for use of the platform. Any applicable fees will be clearly communicated to you. Payment terms, processing, and settlement schedules will be outlined in separate agreements or within the App.

7. Prohibited Activities

You may not:

• Engage in fraudulent, deceptive, or illegal activities
• Sell prohibited, counterfeit, or dangerous goods
• Violate intellectual property rights
• Manipulate ratings or reviews
• Harass or abuse customers or other users
• Attempt to circumvent the platform's fee structure
• Use the App for any unauthorized commercial purposes

8. Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, suspicious activity, or at our sole discretion. You may also terminate your account by contacting us through the App.

9. Intellectual Property

All content, features, and functionality of the Vyapari App, including but not limited to text, graphics, logos, and software, are owned by Vyapari or its licensors and are protected by copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

Vyapari provides the platform "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the App or inability to use the App.

11. Indemnification

You agree to indemnify and hold harmless Vyapari, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the App or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes through the App or via email. Your continued use of the App after such changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
